To register a company in Ghana, one is required to have at least 2 directors and a secretary (who, as a board, govern the company on behalf of its owner(s)/shareholder(s)).
A company secretary is the most senior administrative officer of a company. They ensure that a company, through its board, complies with all its legal and financial obligations, keeping it in good standing always, that resolutions and regulations of the board are adhered to, and that the board is operating smoothly.
Due to the importance of a company secretary’s role, the Companies Act, 2019 (Act 992) of Ghana, requires a company secretary to either be a person with business administration, accounting, company law or secretarial training, or a corporate body whose officers have such qualifications.
